This agreement (“Agreement”) is entered into between Maxuratech (“Service Provider”, “We”, “Our”) and the Client (“You”, “Your”) upon the commencement of any service, whether verbal, written, or digital. By signing a proposal, making a payment, or formally initiating a project with Maxuratech, you acknowledge and agree to the terms of this Agreement.
1. 📝 Scope of Work
The scope of the project (deliverables, timelines, and expectations) will be clearly defined in the project proposal or invoice. Any additional services outside the agreed scope will incur additional charges and must be approved in writing.
2. 💳 Payment Terms
- Standard payment structure: 60% upfront, 40% upon final delivery.
- No project work will begin until the initial deposit is confirmed.
- Late payments beyond 5 business days from the due date may result in service delays or penalties.
- All fees are quoted in Nigerian Naira (₦) unless otherwise stated.
3. 🔁 Revisions
- Each project includes up to 2 rounds of free revisions.
- Additional revisions beyond this limit will be billed at an hourly rate or a flat fee as agreed.
- Revisions do not include a full redesign unless explicitly stated.
4. ⏳ Timelines
- Project timelines will be defined in the proposal or onboarding document.
- Maxuratech is not liable for delays caused by incomplete information, delayed approvals, or late feedback from the client.
- Time-sensitive projects may attract a rush fee.
5. 🧠 Intellectual Property & Ownership
- All creative, digital, or strategic content remains the intellectual property of Maxuratech until full payment is received.
- Upon final payment, the client receives full usage rights (commercial, web, or print as specified).
- Maxuratech reserves the right to showcase completed work in its portfolio or case studies unless the client specifically requests confidentiality in writing.
6. 🕵️ Confidentiality
Both parties agree to treat all project materials, credentials, business strategies, and data as confidential unless written consent is given.
7. ❌ Cancellation Policy
- Cancellation before project start: full refund of deposit
- Cancellation mid-project: 50% refund (if less than half completed)
- After significant progress or delivery: non-refundable

8. ⚖️ Liability & Warranty
- Maxuratech will deliver services to the best of its ability but does not guarantee specific outcomes or profits.
- We are not liable for losses resulting from the use, misuse, or failure of delivered materials.
- Support post-delivery is limited to corrections and minor bug fixes unless a retainer or SLA is in place.
9. 📜 Amendments & Agreement Validity
- This agreement applies to all services unless otherwise stated in a custom contract.
- Maxuratech may update this standard agreement from time to time. Clients will be notified of major updates.
10. ⚖️ Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in a competent court within the jurisdiction of Maxuratech’s primary operation.
